If you are entering into an agreement on behalf of a business or organization, you confirm that you are authorized to do so.
Where an individually agreed service contract conflicts with these Terms, the signed contract will take precedence for that engagement, except where mandatory laws or previously advertised consumer rights require otherwise.

3. Project Initiation and Confirmation
A project officially begins when:
- The client accepts the relevant quotation, package, or service agreement.
- The required initial payment is received, where applicable.
- The client provides the information, materials, and access reasonably necessary to begin the project.
WebsiteLabz may request a completed project brief containing business details, branding preferences, examples, design requirements, and functional specifications.
Project timelines begin according to the agreed commencement date and may depend on receipt of the required information.
Delays in submitting necessary materials may affect delivery milestones.
WebsiteLabz reserves the right to decline projects that are unlawful, technically infeasible, outside our service capabilities, or otherwise inconsistent with applicable business policies.
Any payments already collected for a declined or canceled project will be handled in accordance with the agreed refund terms and applicable law.
4. Pricing and Payment Terms
WebsiteLabz offers fixed-price packages, customized project quotations, and recurring service plans.
The applicable pricing is determined by the package selected or the quotation accepted by the client.
4.1 Fixed-Price Projects
For many custom projects, the standard payment arrangement is:
- 50% upfront to initiate the project.
- 50% upon completion, according to the agreed delivery and acceptance milestones.
Alternative payment arrangements, including milestone-based payments, may be offered and confirmed in writing.
4.2 Custom Projects
Projects requiring additional features, integrations, custom programming, ecommerce functionality, or specialized development will be quoted according to the agreed scope.
Any additional work must be authorized before additional charges are incurred.
4.3 Recurring Services
Hosting, maintenance, SEO, marketing, and other ongoing services may be billed monthly, quarterly, or annually, depending on the selected plan.
The billing frequency, applicable charges, renewal arrangements, and cancellation conditions will be disclosed before purchase.
4.4 Additional Costs
Unless expressly included in the package or proposal, the following may incur separate charges:
- Domain registration and renewal.
- Website hosting and renewals.
- Premium plugins, themes, and extensions.
- Third-party software subscriptions.
- Payment gateway fees.
- Stock photography or licensed media.

Prices are displayed in US dollars unless another currency is expressly specified.
Taxes, transaction fees, and other charges will be disclosed where applicable.
5. Website Design Process
WebsiteLabz follows a structured design and development process intended to ensure clarity, collaboration, and quality.
The typical process includes:
- Discovery: Understanding the client's business, audience, objectives, functionality, and design preferences.
- Planning: Establishing project scope, website structure, required pages, integrations, and milestones.
- Design: Preparing website concepts, page layouts, and user interface designs according to the selected package.
- Development: Building approved designs and implementing the agreed functionality.
- Testing: Reviewing compatibility, responsiveness, navigation, forms, and agreed technical functions.
- Launch: Deploying the completed website following the agreed approval and delivery procedures.
The process may vary according to the complexity of the project and the services purchased.
6. Design Concepts and Mockups
The number of initial design concepts provided will depend on the package or approved proposal.
Design concepts are prepared using the project brief and information provided by the client.
Where WebsiteLabz offers a complimentary design concept or promotional mockup, the specific eligibility requirements, deliverables, and any purchase conditions will be communicated before the work begins.
A complimentary mockup does not automatically include:
- A complete operational website.
- Transferable source files.
- Full website development.
- Unlimited design variations.
- Paid third-party assets.
- Ownership or commercial usage rights.
Unless expressly agreed otherwise, preliminary concepts and unpaid design work remain the intellectual property of WebsiteLabz.
Clients may not reproduce, publish, resell, or commercially use such concepts without authorization.
7. Revision Policy
WebsiteLabz aims to deliver work that meets the agreed requirements and design objectives.
The number and extent of revisions depend on the selected package or service agreement.
7.1 Standard Revisions
A revision refers to a modification of an existing concept or deliverable within the original project scope.
Examples include:
- Adjusting colors and typography.
- Modifying page layouts.
- Updating provided text or images.
- Refining website sections.
- Making agreed usability improvements.
- Correcting implementation issues.
7.2 Unlimited Revisions
Where a package explicitly includes Unlimited Revisions, WebsiteLabz will honor that commitment for revision requests within the originally agreed project scope and applicable package terms.
Unlimited revisions do not automatically include unrelated new deliverables, additional websites, or entirely new functionality.
Requests that materially change the original brief may require a revised quotation.
7.3 Additional Scope
Examples of changes that may require additional payment include:
- Completely changing the approved design direction.
- Adding new pages beyond the agreed package.
- Introducing new integrations.
- Changing the selected ecommerce platform.
- Adding custom functionality.
- Rebuilding completed sections due to a new business requirement.
Additional charges will be communicated for approval before such work proceeds.
7.4 Revision Turnaround
Revision turnaround depends on the complexity of the requested changes, current project workload, and the timeline agreed with the client.
Any guaranteed revision delivery period must be explicitly confirmed in the applicable agreement.
8. Project Timelines and Delivery
Estimated delivery dates are established according to the size and complexity of the project.
WebsiteLabz will make reasonable efforts to meet the agreed delivery schedule.
However, delivery may be affected by:
- Delayed client feedback.
- Missing content or access credentials.
- Additional feature requests.
- Changes to the original scope.
- Third-party integration issues.
- Hosting or server problems.
- Technical complications outside the original specifications.
- Circumstances beyond reasonable control.
Where a material delay occurs, WebsiteLabz will communicate the issue and any revised expected completion date.
Any contractual delivery guarantee or deadline will be governed by the applicable written agreement.
Rush services are subject to availability and any disclosed additional charges.
9. Client Responsibilities
Clients are responsible for providing accurate and complete information necessary for project execution.
This may include:
- Business name and contact details.
- Branding and logo assets.
- Written website content.
- Product information.
- Photographs and graphics.
- Legal notices and industry disclosures.
- Website access credentials.
- Hosting and domain details.
- Timely approvals and feedback.
Clients confirm that they own or have permission to use materials they provide to WebsiteLabz.
Clients are responsible for the accuracy and legality of their supplied content, product claims, descriptions, and business representations.
WebsiteLabz is not responsible for delays directly resulting from missing information or delayed client approvals.
Where appropriate, clients should maintain independent backups of business-critical information and existing website content.
10. Project Inactivity and Delayed Communication
Regular communication is necessary for successful project delivery.
If a client becomes unresponsive for an extended period, WebsiteLabz may temporarily pause the project after reasonable attempts to contact the client.
If no response is received for 30 consecutive calendar days, WebsiteLabz may place the project on hold after providing written notice.
Restarting a paused project may require a revised timeline based on team availability and any changes in the original requirements.
Any additional restart fees must be disclosed and agreed upon before they are charged.
Project inactivity does not automatically result in forfeiture of payments or statutory refund rights.
If a project remains inactive for an extended period, WebsiteLabz may propose closing the engagement and accounting for work performed, subject to the applicable agreement and law.
11. Project Approval and Completion
Clients will be given an opportunity to review applicable deliverables against the agreed project scope.
Final approval may be confirmed by email, an authorized project management system, or another agreed communication channel.
Upon approval, WebsiteLabz may proceed with launch, final deployment, or delivery of the agreed files.
Any remaining payment will become due according to the agreed payment milestones.
Requests for new work made after final approval may be treated as a separate service or change request.
Approval does not waive the client's rights relating to undelivered work, defects, applicable warranties, or legal protections.
12. Refund and Cancellation Policy
WebsiteLabz aims to resolve service concerns fairly and in accordance with the commitments made at the time of purchase.
Refund eligibility depends on the applicable package, disclosed guarantee, project circumstances, work already performed, and mandatory consumer protection laws.
12.1 Cancellation Before Work Begins
If a client requests cancellation before work has commenced, WebsiteLabz will review the payment and refund any amounts due under the applicable agreement and law.
Any properly disclosed, non-recoverable third-party costs already authorized and incurred may be deducted where legally permitted.
12.2 Cancellation After Work Begins
If a project is canceled after work has started, WebsiteLabz may calculate the value of services completed and any properly authorized non-recoverable expenses, subject to the agreed refund terms and applicable law.
A refund, credit, or outstanding balance may be determined based on those circumstances.
12.3 Advertised Money-Back Guarantees
Certain WebsiteLabz packages may expressly advertise a 100% Money-Back Guarantee.
Where such a guarantee is offered, WebsiteLabz will honor the guarantee under the conditions clearly disclosed to the customer before purchase.
Guarantee restrictions will not be introduced retroactively after purchase.
Nothing in these Terms is intended to invalidate an applicable money-back guarantee, misrepresent an advertised offer, or restrict non-waivable consumer rights.
12.4 Satisfaction Concerns
Clients who believe a delivered service does not conform to the agreed scope should contact WebsiteLabz with a description of the issue.
We will review the concern and, where appropriate, propose corrections, completion of outstanding work, another mutually agreed resolution, or a refund where required.
12.5 Third-Party Charges
Certain domain registration charges, software licenses, hosting subscriptions, and external service fees may be non-refundable under the relevant third-party provider's policies.
Any applicable exclusions or limitations will be disclosed as part of the purchase arrangements and will not override mandatory legal rights.
12.6 Refund Requests
Clients may submit refund or cancellation requests by contacting:
Email: info@websitelabz.com
Subject: Refund Request: [Project Name]
Please include the order or invoice reference, the service purchased, and a brief explanation of the request.
WebsiteLabz will review requests and communicate the available resolution within a reasonable period, consistent with applicable law.
12.7 Rights Following a Full Refund
Where a project has been fully refunded and no intellectual property transfer has taken place, the client may not commercially use unpaid or refunded preliminary creative work without a separate license.
This does not restrict the client's ownership of materials originally supplied by the client or any rights that have already vested under law or an applicable agreement.
13. Hosting, Domain Names, and Third-Party Platforms
WebsiteLabz may provide hosting, domain registration assistance, website maintenance, and integrations with third-party platforms.
Third-party platforms may include Shopify, Wix, Squarespace, WordPress, WooCommerce, Google, Meta, payment processors, and other providers.
These services operate under their own policies, subscriptions, technical limitations, and terms.
Unless expressly agreed otherwise:
- Domain registration and renewal charges are separate.
- Third-party subscriptions and software fees are separate.
- Platform-specific transaction fees are determined by the provider.
- Clients are responsible for maintaining any required third-party subscriptions.
- Changes in third-party pricing, services, and platform policies are outside WebsiteLabz's control.
Where a domain is purchased on behalf of a client, ownership and account access arrangements should be documented in writing.
WebsiteLabz does not guarantee uninterrupted availability of third-party platforms or hosting infrastructure.
Where WebsiteLabz directly provides hosting or maintenance, the applicable service levels, backup arrangements, support scope, renewal charges, and cancellation procedures will be specified in the relevant service agreement.
14. Website Maintenance and Support
Ongoing website maintenance is not automatically included in every design or development package.
Maintenance services may include:
- Content updates.
- Software and plugin updates.
- Technical troubleshooting.
- Performance monitoring.
- Security-related maintenance.
- Backup management.
- Compatibility improvements.
- Minor website modifications.
Specific inclusions depend on the selected maintenance plan.
Unless a separate support agreement provides otherwise, ongoing redesigns, new functionality, third-party subscription charges, and major development work are quoted separately.
WebsiteLabz will provide any agreed post-launch corrections or support according to the relevant package or service agreement.
15. Intellectual Property and Ownership Rights
15.1 Client-Provided Materials
All intellectual property rights in materials provided by a client remain with the client or the original rights holder.
The client grants WebsiteLabz a limited license to use those materials for delivering the contracted services.
15.2 Final Deliverables
Where a package or agreement provides full ownership rights, ownership of the final, specifically identified original deliverables created by WebsiteLabz transfers to the client upon receipt of full payment, to the extent those rights are legally transferable.
This may include original website layouts, custom graphics, and custom-developed code expressly included in the agreement.
15.3 Third-Party Assets
Ownership transfers do not include intellectual property belonging to third parties, such as:
- Licensed fonts.
- Stock images and videos.
- Plugins and extensions.
- Open-source frameworks.
- Third-party themes.
- Licensed software.
- Proprietary platform services.
Such materials remain subject to their original licenses.
15.4 Pre-Existing Components
WebsiteLabz retains ownership of its independently developed tools, reusable libraries, workflows, know-how, and pre-existing components.
Where incorporated into a final deliverable, the client receives the license necessary to use those components as specified in the agreement.
15.5 Preliminary and Rejected Concepts
Unused, rejected, and unpaid concepts remain the property of WebsiteLabz unless otherwise agreed.
Clients may not use, resell, reproduce, or distribute these concepts without written authorization.
16. Portfolio and Promotional Use
WebsiteLabz may request permission to display completed work in its website portfolio, presentations, social media channels, or marketing materials.
Where a project is subject to confidentiality requirements or a non-disclosure agreement, those restrictions will be respected.
WebsiteLabz will not knowingly disclose confidential client materials, private customer information, or unpublished proprietary information without authorization.
Any use of completed client work for promotional purposes will be subject to the applicable contract, permissions, and intellectual property rights.
17. Search Engine Optimization and Marketing Services
WebsiteLabz may provide SEO, advertising, marketing consulting, analytics, and conversion optimization services.
While we use professional methods intended to improve online performance, results depend on factors beyond our direct control.
These may include:
- Search engine algorithms.
- Competition and market conditions.
- Advertising budgets.
- Website content quality.
- Product and service pricing.
- Customer behavior.
- Third-party platform policies.
- Changes in the client's business.
Unless expressly agreed in writing, WebsiteLabz does not guarantee:
- Specific Google or Bing rankings.
- A particular number of visitors.
- Guaranteed advertising conversions.
- A fixed number of leads or sales.
- Specific revenue outcomes.
- Approval of every advertising account or campaign.
Clients remain responsible for the accuracy and legal compliance of their business claims, products, and promotional materials.
Advertising-platform charges are separate from agency service fees unless expressly included in the agreement.
18. Ecommerce Websites and Payment Integrations
For ecommerce projects, WebsiteLabz may implement shopping carts, product catalogs, checkout functions, booking systems, and payment gateway integrations.
The client remains responsible for:
- Product accuracy and availability.
- Product pricing and applicable taxes.
- Shipping, returns, and customer-service policies.
- Required business licenses and permissions.
- Compliance with applicable ecommerce and consumer laws.
- Payment processor agreements.
- Industry-specific legal disclosures.
WebsiteLabz does not act as the merchant of record for products sold through client-owned online stores unless a separate written agreement expressly states otherwise.
Any specialized regulatory, legal, tax, or payment compliance requirements must be identified and agreed upon as part of the project scope.
19. Confidentiality
Both WebsiteLabz and the client agree to use reasonable care when handling confidential information shared during a project.
Confidential information may include:
- Business plans.
- Customer records.
- Financial information.
- Proprietary processes.
- Unpublished creative materials.
- Website access credentials.
- Marketing strategies.
- Internal business documentation.
Confidential information will be used only for authorized business purposes.
These obligations do not apply to information that is publicly available without breach, independently developed, lawfully obtained from another source, or required to be disclosed by law.
Additional confidentiality requirements may be established through a separate non-disclosure agreement.
20. Website Security and Access Credentials
Clients may need to provide WebsiteLabz with access to domains, hosting accounts, website platforms, and third-party services.
WebsiteLabz will take reasonable measures to protect authorized access credentials and use them only for the agreed services.
Clients are encouraged to:
- Use secure and unique passwords.
- Enable multi-factor authentication.
- Provide role-based access where possible.
- Maintain administrative ownership of their accounts.
- Review and revoke unnecessary access after project completion.
WebsiteLabz is not responsible for unauthorized changes made by third parties after access has been transferred or modified outside our control, except to the extent arising from our own acts or omissions.
21. Quality Assurance and Service Standards
WebsiteLabz aims to deliver professional work using reasonable skill, care, and attention to the agreed requirements.
Before delivery, applicable projects may undergo checks covering:
- Core functionality.
- Page navigation.
- Mobile responsiveness where included.
- Browser compatibility.
- Form submissions.
- Agreed integrations.
- Content presentation.
- Basic technical functionality.
Where an express satisfaction, uniqueness, ownership, or money-back guarantee is advertised as part of a package, that commitment will be honored according to its applicable terms and mandatory law.
Subjective preferences, new requirements, and scope changes will be handled through the agreed revision or change-request process.
22. Limitation of Liability
To the maximum extent permitted by applicable law, WebsiteLabz will not be liable for indirect, incidental, special, or consequential losses arising from the use of its services, including lost profits, lost business opportunities, or interruption of operations, except where such exclusions are prohibited by law.
For contractual claims, WebsiteLabz's aggregate liability will generally not exceed the amount paid for the specific service or engagement giving rise to the claim, to the extent such a limitation is lawful and enforceable.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any liability that cannot legally be excluded or limited.
Nothing in these Terms restricts applicable statutory consumer protections or express contractual warranties.
23. Project Suspension and Termination
Either party may request termination of a project by providing written notice.
WebsiteLabz may suspend or terminate services where there is a material breach of the agreement, unlawful activity, non-payment after appropriate notice, or another legally justifiable reason.
Where reasonably possible, the affected party will be given notice and an opportunity to resolve a remediable breach.
Upon termination:
- Completed work will be accounted for.
- Outstanding authorized fees may become payable.
- Applicable refunds or credits will be calculated.
- Ownership and licensing rights will be determined under the relevant agreement.
- Confidentiality obligations will continue where applicable.
No termination provision overrides an applicable money-back guarantee or statutory cancellation right.
24. Payment Disputes and Chargebacks
If a client believes a payment was incorrect or a service has not been delivered as agreed, we encourage them to contact WebsiteLabz so the matter can be reviewed promptly.
Clients can raise a billing concern by emailing info@websitelabz.com.
Please include the invoice reference and details of the issue.
WebsiteLabz may request relevant documentation and will make reasonable efforts to resolve legitimate disputes.
This section does not restrict a client's lawful rights to contact a payment provider, initiate an eligible chargeback, or pursue other available remedies.
Fraudulent payment activity or intentional misuse of services may result in appropriate action consistent with applicable law.
25. Third-Party Links and External Services
Our website may contain links to third-party websites, applications, or services.
WebsiteLabz is not responsible for the content, availability, privacy practices, or independent operations of third-party websites that we do not control.
Users should review relevant third-party terms and policies before engaging with those services.

- Infringement of third-party intellectual property rights.
- Misrepresentation of identity or authorization.
- Interference with website functionality or security.
WebsiteLabz may restrict access or decline services where reasonably necessary to address unlawful or abusive conduct, subject to applicable contractual obligations.
27. Privacy and Data Protection
WebsiteLabz collects and processes personal information according to its published Privacy Policy and applicable data protection requirements.
Our Privacy Policy explains relevant collection practices, marketing technologies, data sharing, user rights, and privacy-related contact procedures.
Please review our Privacy Policy.
Where a client project involves processing personal data on the client's behalf, additional data-processing terms may be required.
28. Communications and Official Contact Channels

29. Force Majeure
Neither party will be responsible for delays caused by events outside its reasonable control, to the extent permitted by applicable law.
Such events may include major infrastructure failures, natural disasters, government restrictions, widespread internet outages, or other extraordinary circumstances.
The affected party will make reasonable efforts to notify the other party and minimize disruption.
Any payment, cancellation, and termination consequences will be handled in accordance with the relevant agreement and applicable law.
30. Dispute Resolution
If a dispute arises regarding a project, payment, deliverable, or service, both parties agree to make a reasonable attempt to resolve the matter through direct communication.
Clients may submit a written complaint to info@websitelabz.com.
If the matter cannot be resolved informally, either party may pursue available remedies through the appropriate legal channels.
Nothing in these Terms prevents a party from exercising mandatory legal rights or obtaining appropriate legal relief.
31. Governing Law and Jurisdiction
These Terms are governed by the applicable laws of [Insert Actual Governing Jurisdiction], subject to mandatory consumer protection laws and other non-waivable legal rights.
Any dispute requiring formal legal proceedings will be handled by a court or other competent authority with jurisdiction under the applicable agreement and law.
32. Changes to These Terms
WebsiteLabz may update these Terms from time to time to reflect changes in services, business practices, technology, or legal requirements.
The most recent version will be published on our website with an updated revision date.
Changes will generally apply prospectively and will not retroactively remove rights under existing agreements or guarantees.
Where required, material changes will be communicated or separately accepted.
33. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
For a purchased service, these Terms, together with the accepted proposal, agreed package description, applicable guarantees, and any signed service agreement, form the contractual framework for the engagement.
No failure or delay in enforcing a provision automatically constitutes a waiver of that provision.
